Terms of Service

These terms govern your use of prwise.io, the website and the service that turns your organization's pull-request activity into review analytics. We call it “the Service.” By creating an account or connecting a GitHub organization, you agree to these terms. If you do not agree, do not use the Service.

1Who the terms are between

The Service is provided by DHDTech.io, based in Sheridan, Wyoming. “We,” “us,” and “our” mean DHDTech.io. “You” and “your” mean the person or entity using the Service, and where the context requires, the organization you represent. If you connect an organization, you confirm you have the authority to bind that organization.

2The Service

The Service connects to a GitHub organization you authorize, reads your pull requests, reviews, review comments, review requests and branch protection settings, and computes analytics from them. Those analytics include time to first review, cycle time, review load, after-hours activity, merge compliance and collaboration patterns.

The Service reads repository and review metadata. It does not store your source code contents or diffs. Where we say a report is “business hours,” that is based on the working hours you configure together with each person's preferred timezone.

3Accounts

You need an account to use the Service. You are responsible for keeping your login details secure and for everything that happens under your account. If you think someone else has access to it, tell us right away. You must be at least 18 and able to form a binding contract.

4Your data, and what we do with it

You keep ownership of your data. The Service only holds what it needs to produce the reports: pull-request metadata, review and comment text, the identities of people who author and review work, and the derived metrics. We do not sell your data, and we do not use it to advertise to you.

The privacy policy explains in detail what we store and why. It is part of these terms.

5Acceptable use

You agree not to:

  • probe, overload or disrupt the Service or another user's data;
  • use the Service to break any law, or to infringe someone's rights;
  • resell, sublicense or redistribute the Service without our permission;
  • use the Service to rank, evaluate or make employment decisions about individuals in a way that discriminates, or to build a product that competes with it.

6Fees and billing

prwise is free to use today, and you do not need a credit card to sign up. We may change this in the future, for example by introducing paid plans or changing what the free tier includes. If we do, we will let you know at least 30 days before the change takes effect, and you can stop using the Service before then. Any fees we charge are billed in advance and are non-refundable except where the law requires otherwise.

7Intellectual property

You own the code and the data you put into the Service. We own the Service itself: the software, the design, and the analytics logic. The prwise name and logo are ours. Nothing in these terms gives you a license to our trademarks or to the Service except to use it as intended.

8Third-party services

The Service depends on GitHub and on the infrastructure that hosts it. Those services have their own terms and privacy policies. We are not responsible for them, and we do not promise they will be available.

9Disclaimers

The Service is provided as is, without warranties of any kind, express or implied. We do not promise it will be uninterrupted, error free or fit for a particular purpose. The analytics are one input to your own judgment. They do not by themselves measure individual performance, and you should not treat them as a performance review.

10Limitation of liability

To the fullest extent allowed by law, our total liability arising out of or related to the Service is capped at the amount you paid us in the twelve months before the claim. We are not liable for indirect, incidental, special or consequential damages, or for loss of profits, data, goodwill or savings. Some jurisdictions do not allow these limits, so they may not apply to you.

11Indemnity

You agree to indemnify us against claims that arise from your use of the Service, your content, or your breach of these terms, to the extent permitted by law. We will tell you about any claim and give you the chance to handle it.

12Termination

You can stop using the Service at any time and delete your account. We can suspend or terminate access if you seriously breach these terms or if the law requires it. On termination, your right to use the Service ends. Sections that by their nature should survive (ownership, disclaimers, liability limits, indemnity, governing law) carry on.

13Changes to these terms

We may update these terms. If a change is material, we will let you know before it takes effect, and you can accept or cancel. Continuing to use the Service after the change takes effect means you accept it.

14Governing law

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. You agree that the state and federal courts in Wyoming have jurisdiction over any dispute.
